Terms of Service

These Terms of Service ("Terms") govern your access to and use of OmniVoke (the "Service"), operated by OmniVoke LLC ("OmniVoke," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Nature of the Service

OmniVoke is an AI-assisted content and growth automation platform. It uses artificial intelligence to generate social media copy, video scripts, and related content, publishes that content to third-party platforms you connect (such as YouTube and LinkedIn), and tracks attribution and signup signals back to the content it produced. The Service is experimental in nature.

2. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. You are voluntarily choosing to use the Service. We do not require, compel, or mandate that you use any feature. Creating an account and using the Service is entirely your choice.

• AI-generated content may be inaccurate, incomplete, or misleading. You are responsible for reviewing all generated content before publishing it.
• Automation of social media accounts may violate the terms of service of third-party platforms (including YouTube and LinkedIn), and may result in your accounts being flagged, restricted, suspended, or banned.
• Attribution and analytics data relies on third-party tracking and may be incomplete or incorrect.
• Third-party platform policies and APIs change frequently and may break or discontinue features without notice to us.

3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OMNIVOKE, ITS OWNERS, OPERATORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to lost profits, lost revenue, lost opportunities, reputation damage, platform account bans or suspensions, or emotional distress arising out of or related to your use of the Service.

OmniVoke and its owners' total aggregate liability to you shall not exceed zero dollars ($0.00). If a court of competent jurisdiction finds this limitation unenforceable, the cap shall be one dollar ($1.00). This reflects the at-your-own-risk nature of the Service and is a fundamental element of the bargain between you and us.

4. Indemnification

You agree to indemnify, defend, and hold harmless OmniVoke, its owners, operators, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and other legal costs) arising out of or related to: (a) your use of the Service; (b) any content you submit or content generated on your behalf; (c) your violation of these Terms; (d) your violation of the terms or policies of any third-party platform; (e) your violation of any third-party right; or (f) any dispute between you and any third party arising from your use of the Service or the content published through it.

5. No Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. OmniVoke disclaims all warranties, whether express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no guarantee that the Service will function as described, produce accurate or desirable results, or remain available. Our intent is solely to assist you; however, you acknowledge that the use of automation and AI tools is inherently unpredictable.

6. User Responsibilities

• You are solely responsible for all content you submit and all content published through your account.
• You are responsible for reviewing all AI-generated content for accuracy and compliance before publishing.
• You are responsible for complying with all applicable laws and the terms of service of any third-party platform you connect.
• You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
• You are responsible for obtaining any necessary rights or permissions for content you provide.

7. Prohibited Uses

• Using the Service to generate false, fraudulent, or deceptive content.
• Impersonating any person or entity.
• Violating any law, regulation, or third-party terms of service.
• Interfering with, disrupting, or attempting to gain unauthorized access to the Service.
• Reselling or commercially exploiting the Service without our prior written consent.

8. Intellectual Property

You retain ownership of the content you submit through the Service. You grant us a limited, non-exclusive license to use, store, and process that content solely to provide and improve the Service. OmniVoke owns the Service itself, including all software, design, and related materials.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

10. Modifications to These Terms

We may modify these Terms at any time. Changes become effective upon posting to the Service. Your continued use of the Service after any modification constitutes your acceptance of the modified Terms.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service and delete your account at any time. Provisions that by their nature should survive termination will survive, including limitation of liability, indemnification, and no warranty.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved through binding individual arbitration. You waive any right to participate in a class action or class-wide arbitration.

13. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and OmniVoke regarding your use of the Service.
